Document under review
This text is pending internal validation and legal review, and is not final.
1. Ownership and acceptance
Logic Nearshore is a commercial brand of Logic Solutions Consulting, S.L., with tax ID (NIF) B57820847 and registered office at Avenida Arquitecte Gaspar Bennazar 7, 9º A, 07004 Palma de Mallorca, Illes Balears, España.
Accessing and using the website implies acceptance of these terms, as well as the Privacy Policy, the Cookie Policy and the other legal documentation published.
2. Description of the service
Logic Nearshore offers IT staff augmentation services with Latin American profiles for European companies, including development and systems profiles. Logic Solutions Consulting, S.L. acts as the European contractual counterparty and manages the relationship with the professionals.
3. Contracting process
The process comprises the configuration of the requested team, the selection of profiles, the formalisation of the contract by electronic signature and the corresponding initial payment.
Before the search starts, the contract is signed and the initial payment is made, which comprises one month of non-refundable deposit and the first month of service.
Before creating the contract, the client can review the team configuration and their details and correct them in the calculator and in the contracting form. The generated contract can be reviewed before signing it.
The contract can be concluded in Spanish or English. Once signed, it is archived and remains accessible to the client in the client portal (“My contracts”), where it can be viewed and downloaded.
4. Selection and start of the service
After the contract has been formalised and payment made, Logic Nearshore searches for and presents candidates according to the requested technology and seniority, normally within 48–72 hours.
The client may hold an initial interview to validate fit and expectations.
The professional starts at least 7 days after contracting, allowing at least 5+1 business days from the current day.
5. Trial period and replacement
There is a trial period during the first week. If the profile does not match the conditions or the feedback received, Logic Nearshore will propose an alternative in line with the service.
If a profile leaves or underperforms, a replacement will be presented at no recruitment cost and the handover will be organised.
6. Minimum duration
The service has a minimum duration of 4 months, in accordance with the conditions currently published on the website.
7. Prices and taxes
Prices are calculated using the tool available on the website and are updated according to the profiles, technologies and duration selected. The final amount will be the one calculated and confirmed by the system at the time of contracting.
The invoice will be issued by Logic Solutions Consulting, S.L. in euros, with VAT or with the corresponding intra-community exemption depending on the client’s country and tax status.
8. Payment method
The service is invoiced monthly in advance. The initial payment comprises one month of deposit and the first month of service. Payments can be made using the methods enabled during the contracting process.
9. Confidentiality
Logic Nearshore may sign a non-disclosure agreement (NDA) when the client requests it and it is necessary for providing the service.
10. No direct hiring of the professional
Direct hiring of the professional outside the service is not contemplated during the term of the contractual relationship, in accordance with the conditions published by Logic Nearshore.
In particular, the client undertakes not to hire or establish, directly or indirectly, an employment, commercial or collaboration relationship with the professionals presented, interviewed or assigned by Logic Nearshore outside its intermediation.
The scope of this undertaking, its duration after the end of the contract and the consequences of a breach are set out in the contract formalised with the client.
11. Intellectual property
The contents, design, logos, trademarks and other elements of the website belong to Logic Nearshore/Logic Solutions or to third parties who have authorised their use, and are protected by the applicable regulations.
12. Availability and liability
Logic Nearshore will endeavour to maintain the availability and proper functioning of the website and the service, without guaranteeing uninterrupted availability. Prices shown as an estimate do not in themselves constitute a binding contractual offer.
13. Refunds and guarantees
The website establishes a refund guarantee during the first 15 days, subject to the service conditions.
To request it, the client must notify it in writing to service@logicsolutions.es within that period, stating the reasons. The scope of the guarantee, the refundable amounts and the refund procedure are set out in the contract formalised with the client.
The service is aimed exclusively at companies and professionals, so the right of withdrawal provided for in consumer protection legislation does not apply.
14. Cancellation, non-payment and minimum term
If a monthly charge fails, the payment gateway retries it automatically. If non-payment persists for fifteen (15) calendar days from the first failed attempt, the service is suspended until the client settles the outstanding amount; once settled, the service is automatically reactivated.
Unpaid amounts accrue the late-payment interest and collection costs provided for in Spanish Law 3/2004, of 29 December, on combating late payment in commercial transactions. If non-payment is not settled, Logic Nearshore may terminate the contract under the terms set out therein.
The duration selected by the client when contracting constitutes the minimum term of the contract. If the client terminates the contract or interrupts the service before that term ends for a reason not attributable to Logic Nearshore, the client must pay the outstanding monthly fees until the term is completed, calculated according to the monthly price set out in the contract. The deposit paid with the initial payment is non-refundable.
The end of the service at the close of the contracted term and, where applicable, its renewal are governed by the contract formalised with the client.
15. Applicable law and jurisdiction
These terms are governed by Spanish law. Disputes will be resolved by the courts and tribunals that are competent under the applicable regulations.
